These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and NoteyDoc LLC ("NoteyDoc," "we," "us," or "our") governing your access to and use of the NoteyDoc website, browser extension, web application, and related services (collectively, the "Service"). By creating an account, signing in, installing the browser extension, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of the Service
NoteyDoc is a documentation assistant that helps licensed clinicians turn short visit summaries into more structured clinical notes by generating draft text using machine learning language models. NoteyDoc is a drafting helper only. It does not provide medical advice, make medical diagnoses, select billing codes, automatically submit documentation to payers or electronic health record systems, or constitute a system of record. All output is a draft that you must review, edit, and approve before use.
2. Eligibility
You must be at least 18 years old and a licensed or supervised clinician (or working under the direction of one) to use the Service. By using the Service, you represent that you meet these requirements and that you have the legal authority to enter into these Terms, both for yourself and, if applicable, on behalf of any organization for which you are acting.
3. Account Registration
To use most features, you must create an account by providing a valid email address and password. You are responsible for keeping your account credentials confidential, for all activity that occurs under your account, and for promptly notifying us at support@noteydoc.com if you suspect unauthorized access. We may refuse, suspend, or terminate accounts at our discretion as described in Section 12.
4. Acceptable Use
You agree to use the Service only for lawful purposes consistent with its intended use as a clinical documentation drafting tool.
You may not:
- Enter Protected Health Information (PHI) into the Service unless your account or organization has an active Business Associate Agreement with NoteyDoc and your account is PHI-enabled.
- Use the Service to make autonomous medical decisions or to substitute for clinician judgment.
- Attempt to bypass, disable, or interfere with NoteyDoc's PHI screening, rate limits, security controls, or any other technical safeguards.
- Reverse engineer, decompile, scrape, or attempt to extract the underlying source code, models, prompts, or system instructions.
- Resell, sublicense, or commercially redistribute the Service or its output without our written consent.
- Use the Service to harass, defame, or harm any person, or to violate any law, regulation, or third-party right.
- Share your account credentials with any other person, including coworkers, supervisors, or family members. Each user must have their own account.
- Use the Service in connection with any activity that could damage, disable, or impair NoteyDoc's infrastructure or other users' use of the Service.
You also agree to comply with the NoteyDoc PHI Use Acknowledgment, which is incorporated by reference into these Terms.
5. User Content and Inputs
You retain ownership of the content you enter into the Service ("User Content"). By submitting User Content, you grant NoteyDoc a non-exclusive, worldwide, royalty-free license to process, transmit, store, and display that content solely as needed to operate, maintain, secure, and troubleshoot the Service. NoteyDoc does not use User Content to train public or general-purpose AI models. Internal product improvements are derived only from aggregated, de-identified usage patterns and never from the substance of User Content. Your use of the Service does not transfer ownership of User Content to NoteyDoc, and NoteyDoc does not claim any rights in your underlying clinical work product.
You are solely responsible for the User Content you enter into the Service and for ensuring that your use of the Service complies with applicable law, your professional obligations, and your organization's policies. NoteyDoc's input screening is a safeguard, not a guarantee, and does not relieve you of this responsibility.
6. Service Output
Output generated by the Service is a draft for your review. You are solely responsible for reviewing, editing, and approving any output before it becomes part of the legal medical record, is shared with patients, payers, or third parties, or is otherwise relied upon. NoteyDoc makes no representation that output is clinically accurate, complete, free of errors or omissions, or appropriate for any particular patient, condition, or use. You agree not to rely on Service output as a substitute for clinical judgment.
7. Subscriptions and Payment
NoteyDoc offers free and paid plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. By subscribing to a paid plan, you authorize NoteyDoc and Stripe to charge your payment method for the subscription fee at the start of each billing period.
Subscriptions automatically renew at the end of each billing period unless canceled before renewal. You may cancel at any time from your account settings or by contacting support@noteydoc.com. Cancellation takes effect at the end of the current billing period, and you retain access through that date.
NoteyDoc does not provide refunds for partial billing periods, unused time, or downgrades, except where required by applicable law. We reserve the right to change pricing, plan features, or plan availability at any time. Pricing changes will take effect at the start of your next billing period and will be communicated in advance by email or in-product notice.
If a payment fails, we may suspend or downgrade your access to paid features until payment is resolved.
You agree not to initiate a chargeback for charges authorized under these Terms. If you dispute a charge, please contact support@noteydoc.com first to attempt resolution. Unauthorized chargebacks may result in account suspension.
8. Free and Trial Plans
Free and trial plans are provided at our discretion and may be modified, limited, or discontinued at any time. We may impose usage limits on free plans, including limits on the number of generations, workspaces, or features available.
9. Beta and Experimental Features
We may from time to time make beta, preview, or experimental features available. Beta features are provided "AS IS" without any warranty, may be modified or discontinued at any time, and may have limitations not present in generally available features. Use of beta features is at your own discretion, and feedback you provide about beta features may be used by NoteyDoc to improve the Service without obligation to you.
10. Intellectual Property
The Service, including its software, design, models, trained system instructions, branding, content, and documentation, is owned by NoteyDoc and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during the term of these Terms. No other rights are granted by implication, estoppel, or otherwise.
You may not use the NoteyDoc name, logo, or trademarks without our prior written consent.
11. Third-Party Services
The Service relies on third-party providers, including cloud hosting, payment processing, and AI model providers. Your use of the Service may be subject to those providers' terms and privacy policies in addition to these Terms. We select third-party providers with attention to security and reliability but are not responsible for their independent acts or omissions.
12. Suspension and Termination
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, the PHI Use Acknowledgment, or applicable law; if your use creates a security or compliance risk; if required by law; or for repeated nonpayment. Where reasonably possible, we will provide notice and an opportunity to cure before termination, but we are not required to do so for serious violations, including unauthorized PHI submission from non-BAA accounts.
You may terminate your account at any time by canceling from account settings or contacting support@noteydoc.com. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, governing law, and dispute resolution) will survive.
If we terminate your account for cause, you will not be entitled to a refund of any prepaid fees. If we terminate your account without cause (for example, because we discontinue the Service or a specific plan), we will refund any prepaid fees on a pro-rated basis for the unused portion of your subscription.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, NOTEYDOC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, NOTEYDOC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR ANY PARTICULAR USE. NOTEYDOC DOES NOT PROVIDE MEDICAL ADVICE, AND NOTHING IN THE SERVICE SHOULD BE CONSTRUED AS A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NOTEYDOC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTEYDOC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NOTEYDOC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
For organizations operating under a signed Business Associate Agreement, liability for matters covered by HIPAA is governed by the BAA in addition to or in modification of this Section, as expressly stated in the BAA.
15. Indemnification
You agree to indemnify, defend, and hold harmless NoteyDoc and its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms or the PHI Use Acknowledgment; (b) your User Content, including any submission of PHI without an active BAA; (c) your violation of any law or third-party right; or (d) your reliance on Service output without appropriate clinical review.
16. Modifications to the Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this document and notify you by email or in-product notice at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state and federal courts located in Los Angeles, California, and you consent to the personal jurisdiction and venue of those courts.
You and NoteyDoc agree to attempt in good faith to resolve any dispute informally before initiating formal proceedings by contacting support@noteydoc.com.
18. General Provisions
These Terms, together with the Privacy Policy and the PHI Use Acknowledgment, constitute the entire agreement between you and NoteyDoc regarding the Service and supersede any prior agreements on the same subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable. Failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
